OneGym Terms of Service

Effective date: October 20, 2026

These Terms of Service ("Terms") are a contract between One Path Business Solutions ("OnePath", "we", "us" or "our") and the gym, studio, trainer or fitness business that signs up for OneGym ("Gym" or "you"). By creating an account, starting a free trial or paying for a plan, you accept these Terms. If you accept on behalf of a business, you confirm that you have authority to bind it.

1. The Service

OneGym is a cloud gym management platform for member management, check ins, invoicing, payments, renewals, class and trainer scheduling, WhatsApp automation, biometric access integration, multi branch management, analytics and AI assistant features (the "Service"). Features depend on your plan. We may improve or change features, but we will not materially reduce the core features of a paid plan during a paid term.

2. Accounts and users

  • You must give accurate business and billing details and keep them current.
  • You decide which staff and trainers get access and what they can see. You are responsible for all activity under your account.
  • Keep passwords confidential and tell us at once at info@onepathsolutions.com if you suspect unauthorised access.
  • Member numbers must stay within your plan: Starter up to 100 members, Professional unlimited, Enterprise as agreed.

3. Free trial

All plans include a 14 day free trial. No credit card is needed. You are not charged when the trial ends unless you choose a paid plan. If you do not upgrade, we may delete trial data 30 days after the trial ends.

4. Plans, fees and payment

  • Prices are shown on our website or in your quote. Published prices are in Indian rupees and billed monthly unless your quote says otherwise.
  • Fees are paid in advance. GST and other taxes are added where applicable.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • We may change prices with at least 30 days notice. New prices apply from your next renewal.
  • If an invoice stays unpaid 15 days after we notify you, we may suspend access until it is paid. Your data is not deleted during suspension.

5. Membership fees you collect

When members pay you through OneGym, the payment goes to your gym through a payment gateway under your agreement with that gateway. You are the seller of your memberships and are responsible for your prices, invoices, taxes, refunds to members and any disputes. OnePath does not hold or settle member payments.

6. Biometric hardware

OneGym integrates with many common biometric and gate access devices, but we do not guarantee compatibility with every model. Unless we supply hardware under a separate quote, you buy, install and maintain your own devices. You are responsible for getting member consent before enrolling anyone in biometric access and for offering an alternative way to enter, as explained in our Biometric and Member Data Notice.

7. Messaging rules

WhatsApp, SMS and email messages must be sent only to members who have agreed to receive them. You must follow WhatsApp Business policies, telecom rules and anti spam laws. We may pause messaging if a provider flags your account or messages for abuse.

8. Your data

  • You own all data you put into OneGym ("Gym Data").
  • You give us a limited licence to host and process Gym Data only to provide and support the Service, as described in our Privacy Policy.
  • You are responsible for giving members notice, obtaining consent for biometric and health details, and collecting data lawfully.
  • You can export your data while your subscription is active and for 90 days after it ends.

9. Fitness and health

OneGym is management software. Schedules, suggestions and AI insights are not medical or fitness advice. Your gym is responsible for the safety of members, the qualifications of trainers and any health screening you require.

10. Acceptable use

You and your users must not use the Service for anything unlawful, upload malicious code, try to bypass security or access other gyms' data, scrape or overload the Service, reverse engineer it except where the law allows, or resell it without our written approval. We may suspend users or accounts that break these rules.

11. Availability and support

We work to keep the Service available at all times, apart from planned maintenance, which we try to schedule outside peak gym hours. Starter includes shared support, Professional includes a dedicated manager, and Enterprise includes 24/7 support and on site training as set out in the quote.

12. White label and custom branding

On Enterprise plans with custom branding or white label apps, you are responsible for your own brand assets, app store listings and the content you publish under your brand. OnePath keeps ownership of the underlying software.

13. Intellectual property

OnePath owns the Service, its software, design, documentation and the OneGym brand. These Terms do not transfer any of these rights to you. If you send us feedback, we may use it freely.

14. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform these Terms, except where the information is public, already known, independently developed or must be disclosed by law.

15. Disclaimer

Except as stated in these Terms, the Service is provided "as is" and "as available". We do not guarantee that every device, gateway or messaging provider will always work with the Service.

16. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, members, goodwill or data. Our total liability for all claims relating to the Service is limited to the fees you paid us for OneGym in the 12 months before the event that caused the claim. These limits do not apply to payment obligations, fraud, or liability that cannot be limited by law.

17. Indemnity

You will defend and indemnify OnePath against third party claims arising from Gym Data, missing member consents, injuries or disputes at your gym, messages you send, or your breach of these Terms or the law. We will defend and indemnify you against third party claims that the Service, as provided by us, infringes their intellectual property rights.

18. Term and termination

  • These Terms apply from sign up until your subscription ends.
  • You may cancel at any time. Cancellation takes effect at the end of the current billing period.
  • Either party may end the subscription for a serious breach that is not fixed within 15 days of written notice.
  • We may suspend access at once where needed to stop fraud or illegal activity.
  • After termination, you may export your data for 90 days. We then delete it as described in our Privacy Policy.

19. Governing law and disputes

These Terms are governed by the laws of India. Both parties will first try to settle any dispute through good faith discussion for 30 days. If that fails, the courts of Hyderabad, Telangana have exclusive jurisdiction.

20. Changes and general terms

We will post updated Terms here and give account owners at least 15 days notice of material changes. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent, but we may assign them as part of a merger or sale of business. If any part of these Terms is invalid, the rest stays in force. These Terms, any quote and the documents they refer to are the entire agreement between us.
